Terms of Service
CONFIDENTIALITY, AND NON-DISCLOSURE AGREEMENT
This Professional Services and Non-Disclosure Agreement made or effective as of the date of acknowledgement (hereinafter the "Effective Date"), by and between client and Daigle Law Group, LLC., a Connecticut limited liability company with its principal place of business in 960 South Main Street in Plantsville, CT 06479 (hereinafter the "DLG"), is intended to govern the overall relationship between Client and DLG while the DLG Learning Center is providing services to or on behalf of the Client (hereinafter the "Agreement").
CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT
The training, publications, videos and opinions are produced to provide general information on the topic presented. It is distributed with the understanding that the publisher (Daigle Law Group, LLC.) is not engaged in rendering legal or professional services. Although this publication is prepared by professionals, it should not be used as a substitute for professional legal services. If legal or other professional advice is required, the services of your authorized legal counsel or prosecution professional should be sought.
PROPRIETARY INFORMATION: Each of the DLG Learning Center Course and Videos provided by DLG contains valuable trade secrets and proprietary information belonging to DLG. None of the services may be copied, duplicated or disclosed without the express written permission of DLG, except in accordance of law.
SPECIAL NON-DISCLOSURE PROVISION: CLIENT agrees and expressly acknowledges that DLG has represented that the services provided by the under the service-mark "DLG Learning Center" are for official use only of CLIENT and the personnel that is intended to receive it in compliance with their duties. Any training material, or educational service provided with the aforementioned service-mark is intended for CLIENT law enforcement personnel only and its unauthorized distribution, sharing, reproduction or personal use by any of the Representatives of CLIENT or by third parties is strictly forbidden. CLIENT can use the services provided by DLG under the service-mark "DLG Learning Center" for training of its members. The use by CLIENT of the services provided by DLG under this service-mark for its financial gain or its benefit without written authorization of DLG not permitted by the terms of this agreement. Client employees and its independent contractor staff are permitted to view the Videos subject to the confidentiality requirement of this paragraph.
SERVICES PROVIDED BY DLG UNIQUE: CLIENT expressly acknowledges that DLG has represented the services provided by DLG under the service-mark "DLG Learning Center" are of a special, unique, and intellectual character which gives them peculiar value, and that in the event of misuse, unauthorized disclosure or misappropriation by CLIENT of the service mark or of the educational services and videos that are provided under the mark, that DLG may be caused irreparable injury. CLIENT expressly agrees that in the event CLIENT breaches the non-disclosure and confidential information provisions of this Agreement, DLG shall have the right to recoup any damages incurred by CLIENT as a result of such breach so long as such damages have been determined by a court of competent jurisdiction or are otherwise recoupable in accordance with the law.
SURVIVAL: The covenants of confidentiality set forth herein shall survive and continue and be maintained from the Effective Date hereof until three (3) years after the termination of this Agreement.
IN WITNESS THEREOF, the parties have executed this Agreement in duplicate as of the Effective Date above written.
BY SIGNING BELOW, THE PARTIES CONFIRM THAT THEY HAVE CAREFULLY READ AND UNDERSTAND ALL OF THE TERMS OF THIS AGREEMENT, ENTER INTO THE AGREEMENT KNOWINGLY, VOLUNTARILY, AND OF THEIR OWN FREE WILL, UNDERSTAND ITS TERMS AND THEIR SIGNIFICANCE, AND INTEND TO ABIDE BY ITS PROVISIONS WITHOUT EXCEPTION.
